Terms of Service

Welcome to SeaSeatShare. These Terms of Service (the “Terms”) govern your access to and use of the SeaSeatShare website at seaseatshare.com, the SeaSeatShare mobile applications, and any related services (together, the “Platform”), operated by Sea Seat Share (FZE) (“we,” “us,” or “SeaSeatShare”), a free zone establishment registered in the SPARK Free Zone, Sharjah, United Arab Emirates.

By creating an account, accessing the Platform, or completing a booking, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

  • Captain means a vessel owner or licensed maritime operator approved by SeaSeatShare to list and operate Trips on the Platform.
  • Guest means a user who reserves one or more Seats on a Trip.
  • Trip means a scheduled maritime experience listed by a Captain, including fishing, diving, or cruising activities.
  • Seat means a single passenger reservation on a Trip.
  • Seat Goal means the minimum number of Seats a Captain sets as required for the Trip to be confirmed.
  • Cutoff means twelve (12) hours before the scheduled departure time of a Trip, when the Platform evaluates whether the Seat Goal has been met.
  • Commission means the platform fee retained by SeaSeatShare from Trip revenue.

2. Eligibility and Accounts

You must be at least eighteen (18) years old to create an account and reserve Seats. By registering, you represent that the information you provide is accurate and complete and that you will keep it current. You are responsible for all activity that occurs under your account and for safeguarding your credentials. You agree to notify us immediately of any unauthorized access.

3. The Seat Goal Model

SeaSeatShare operates a seat-goal based booking system. When you reserve a Seat, your payment method is authorized (held) but not charged. As additional Guests reserve Seats, the Seat Goal progress is updated in real time. At the Cutoff, SeaSeatShare automatically:

  • captures all authorized payments and confirms the Trip if the Seat Goal has been met;
  • releases all authorization holds and cancels the Trip if the Seat Goal has not been met.

In the latter case, no money is charged and you will receive a notification that the Trip did not confirm.

4. Bookings, Payments, and Payouts

4.1 Payment authorization

Payments are processed through Stripe using manual capture PaymentIntents. Your card is authorized at the time of booking and only charged if the Trip confirms at Cutoff. You authorize SeaSeatShare and Stripe to re authorize the hold if required to maintain it until Cutoff.

4.2 Commission

SeaSeatShare retains a Commission on every confirmed Trip. The Commission is ten percent (10%) when the Captain is paid via Stripe Connect Express and fifteen percent (15%) when the Captain is paid via bank transfer. The Commission is disclosed in the Captain agreement at onboarding.

4.3 Captain payouts

Captain payouts are released automatically forty eight (48) hours after Trip completion, net of Commission and any applicable dispute or refund amounts.

4.4 Currency

All prices on the Platform are displayed and charged in United Arab Emirates Dirhams (AED). Conversion fees or currency surcharges imposed by your card issuer are your responsibility.

5. Cancellation and Refund Policy

5.1 Seat Goal not met

If the Seat Goal is not met at Cutoff, the Trip is automatically cancelled and all payment authorizations are released. You will not be charged.

5.2 Captain cancellation

If a Captain cancels a confirmed Trip for any reason (including weather, vessel issues, or emergencies), you will receive a full automatic refund to your original payment method. Refund processing times depend on your card issuer.

5.3 Guest cancellation

Once a Seat is confirmed, Guest initiated cancellations are non refundable. This policy protects Trip viability and other Guests who have relied on the confirmed Seat Goal. In exceptional circumstances (documented medical emergency, bereavement, or similar), SeaSeatShare may exercise discretion to issue a goodwill refund; such discretion is not a contractual right.

6. Guest Obligations

  • Arrive at the departure marina at least fifteen (15) minutes before the scheduled departure time with a valid government issued photo ID.
  • Sign the digital waiver before boarding.
  • Follow all safety instructions from the Captain and crew at all times.
  • Do not bring prohibited items on board, including illegal substances, weapons, or unapproved equipment.
  • Treat the Captain, crew, and fellow Guests with courtesy and respect.
  • Be financially responsible for any damage you cause to the vessel or its equipment.

7. Captain Obligations

  • Hold a valid UAE Maritime License and Emirates ID, and keep them current.
  • Operate a vessel with current registration and adequate passenger insurance.
  • Provide safe, well maintained equipment and all required safety gear (life jackets, flares, first aid kits).
  • Communicate clearly, punctually, and professionally with Guests and SeaSeatShare.
  • Only cancel Trips for legitimate safety, weather, or emergency reasons, and notify SeaSeatShare immediately.
  • Comply with all applicable UAE maritime and commercial regulations.

8. Trust and Verification

SeaSeatShare reviews Captain applications and vessel documentation before onboarding. However, SeaSeatShare does not directly operate any vessel and is not an owner, operator, or carrier. Captains are independent operators responsible for their own vessels, crews, and trip delivery.

9. Prohibited Uses

  • No fraudulent, deceptive, or misleading activity.
  • No harassment, hate speech, or illegal discrimination against other users.
  • No scraping, reverse engineering, or unauthorized automated access to the Platform.
  • No listing of unlicensed vessels or operation without proper maritime certification.
  • No off platform payment arrangements that circumvent Commission.
  • No impersonation of another Captain, Guest, or SeaSeatShare staff member.

10. Intellectual Property

All content, trademarks, branding, software, designs, and data on the Platform are the exclusive property of Sea Seat Share (FZE) or its licensors and are protected by UAE and international intellectual property law. You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform without our prior written consent.

11. User Generated Content

When you post reviews, photos, comments, or other content on the Platform, you grant SeaSeatShare a non exclusive, worldwide, royalty free, sublicensable license to use, reproduce, display, adapt, and distribute that content for the operation and promotion of the Platform. You represent that you own or have permission to use the content and that it does not infringe any third party rights.

12. Disclaimers

Maritime activities carry inherent risks including but not limited to weather changes, sea conditions, vessel movement, slip and fall, equipment failure, and interaction with marine life. By booking and participating in a Trip, you acknowledge and accept these risks voluntarily. The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, to the fullest extent permitted by UAE law.

13. Limitation of Liability

To the maximum extent permitted by applicable law, SeaSeatShare and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of the Platform or any Trip. SeaSeatShare’s total aggregate liability to you for any claim arising under these Terms is limited to the total amount you paid to SeaSeatShare in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Sea Seat Share (FZE) and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third party right.

15. Dispute Resolution

The parties will first seek to resolve any dispute through good faith direct negotiation. If the dispute cannot be resolved within thirty (30) days, it will be submitted to the exclusive jurisdiction of the courts of the Emirate of Sharjah, United Arab Emirates, and governed by the laws of the UAE without regard to conflict of law principles.

16. Changes to These Terms

SeaSeatShare may revise these Terms from time to time. When we make material changes we will notify users by email or through an in app notice at least seven (7) days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

17. Termination

We may suspend or terminate your account at any time for violation of these Terms, for fraudulent or unlawful activity, or to protect other users, Captains, or SeaSeatShare. You may close your account at any time by contacting support. Upon termination, sections of these Terms which by their nature should survive (including Intellectual Property, Disclaimers, Limitation of Liability, and Dispute Resolution) will remain in effect.
